1. Acceptance of Terms

By accessing or using DebtWise ("the Application", "the Service"), including downloading the DebtWise Starter Spreadsheet or purchasing access to the web application, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Application.

2. Description of Service

DebtWise provides tools and resources to help users manage and pay down personal debt. This includes a downloadable spreadsheet ("DebtWise Starter Spreadsheet") and a web application offering features such as debt tracking, budget planning, calculation of payoff strategies (e.g., Snowball, Avalanche), and visualization of financial progress.

3. Disclaimer: Not Financial Advice

DebtWise provides informational and organizational tools only. The Application and any content provided do not constitute financial, investment, legal, or tax advice. You are solely responsible for your financial decisions. We recommend consulting with qualified financial professionals before making significant financial decisions. We make no representations, warranties, or guarantees, express or implied, regarding the accuracy, reliability, or completeness of the information provided.

4. User Accounts

Access to the DebtWise web application requires creating an account. You agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain the security of your account password and accept all risks of unauthorized access to your account.
• Promptly notify us if you discover or otherwise suspect any security breaches related to the Service.
• Take responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate your account if any information provided during the registration process or thereafter proves to be inaccurate, false, or misleading, or if you violate these Terms.

5. User Data and Content

You retain ownership of the financial data and other information you input into the Application ("User Content"). By using the Service, you grant DebtWise a worldwide, non-exclusive, royalty-free license to use, store, reproduce, and display your User Content solely for the purpose of operating, providing, and improving the Application. You are solely responsible for the accuracy, quality, integrity, legality, reliability, and appropriateness of your User Content. Please refer to our Privacy Policy for details on how we handle your data.

6. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using the Application for any illegal purpose or in violation of any local, state, national, or international law.
• Violating or encouraging others to violate the rights of third parties, including intellectual property rights.
• Posting, uploading, or distributing any content that is unlawful, defamatory, libelous, inaccurate, or that a reasonable person could deem to be objectionable, profane, indecent, pornographic, harassing, threatening, hateful, or otherwise inappropriate.
• Interfering with security-related features of the Application.
• Interfering with the operation of the Application, including by uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code.
• Attempting to gain unauthorized access to the Service, user accounts, or computer systems or networks connected to the Service.
• Using any automated means (e.g., scraping, robots) to access the Application for any purpose without our express written permission.

7. Payments and Access

Access to the full DebtWise web application requires a one-time payment ("Lifetime Access"). By purchasing Lifetime Access, you agree to pay the specified fee. All payments are processed through a secure third-party payment processor (e.g., Stripe, Lemon Squeezy - *you may need to specify your processor here*). Payments are non-refundable except as required by law or at our sole discretion. Lifetime Access grants you access to the current features of the web application for as long as the Service is maintained. We reserve the right to modify or discontinue the Service at any time, but we will strive to provide reasonable notice if feasible. Access to the DebtWise Starter Spreadsheet is provided free of charge after email submission, subject to these Terms.

8. Intellectual Property

The Application, including its underlying technology, design, logos, and content (excluding User Content), are the property of DebtWise or its licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Application for your personal, non-commercial use, subject to these Terms.

9. Limitation of Liability

To the maximum extent permitted by applicable law, DebtWise, its affiliates, agents, directors, and employees shall not be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, this service. We assume no liability or responsibility for any errors, mistakes, or inaccuracies of content; personal injury or property damage resulting from your access to or use of our service; or any unauthorized access to or use of our secure servers and/or any personal or financial information stored therein. Our total liability in any matter arising out of or related to these terms is limited to the amount you paid for the service, or US $50, whichever is greater.

10. Indemnification

You agree to defend, indemnify, and hold harmless DebtWise and its employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) User Content posted on the Service.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, which may be provided via email or by posting prominently within the Application. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which DebtWise operates, without regard to its conflict of law provisions.

13. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request deletion.
